Terms and Conditions of Sale
Quantities delivered
We effect delivery in whole packing units only; otherwise we reserve the right to charge a markup for small-volume purchases.
Credit
In case the credit standing of the customer is doubtful we shall be entitled to withhold delivery and demand security.
Price
The quoted prices are valid in 15 working days from the invoiced date. Offer without engagement, which is subject to another formal Proforma Invoice.
Cancellation
Orders may not be canceled or rescheduled without JINBO written consent and are subject to cancellation or reschedule charges determined by JINBO.
Exclusion of set-off
Any set-off against customers’ counterclaims shall be excluded.
Retention of ownership
We retain ownership of the goods delivered until all our invoices have been paid.
Complaints and warranty
Warranty shall be limited to free replacement of defective goods or repair of defects at the factory. The customer has to provide evidence that the goods were already defective at the time of handover. Invoices for repair services by third parties shall not be accepted.
Liability
We shall only assume liability for disadvantages from nonperformance, delayed or faulty performance if evidence is provided that we have acted with intention or gross negligence. Under no circumstances shall we assume liability for mere economic loss.
Applicable law and place of jurisdiction
Hong Kong law shall apply. The place of jurisdiction shall be Hong Kong.
